Terms of Use - Inso AI

1. Acceptance of Terms

At Inso AI ("Inso", "we", "us", or "our"), these Terms of Use ("Terms") govern your access to and use of our enterprise-grade AI and IoT platform, edge gateway devices, dashboard, software, and websites (collectively, the "Service").

By accessing, installing, or using the Service, you (the "Client" or "User") agree to be bound by these Terms. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you possess full legal authority to bind such entity. If you do not agree to these Terms, do not access or use the Service.

2. Service Description & Access

Inso provides an intelligent, cloud-hosted Computerized Maintenance Management System (CMMS) that utilizes real-time IoT edge telemetry and predictive artificial intelligence models to predict equipment failures, optimize multi-site facilities, and streamline field engineering operations.

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service strictly in accordance with your subscription plan and corporate agreement.

You must ensure that your operational credentials, Single Sign-On (SSO) configurations, and Active Directory integration profiles are maintained securely. You are solely responsible for all activities occurring under your user accounts.

3. Platform & Hardware Use

Edge Gateway Deployment: Plug-and-play Inso IoT edge gateway hardware must be deployed and configured strictly according to our official manuals and engineering guidelines. You agree not to temper, modify, disassemble, or reverse-engineer any physical gateway hardware.
Telemetry Integrity: You represent that all operational equipment telemetry, BMS signals, and machine records transmitted to the Service are accurate and obtained legally.

4. Intellectual Property

Inso Ownership: All software, algorithms, predictive failure models, dashboard user interfaces, raw telemetry schemas, machine learning weights, trademarks, logos, and industrial designs are the sole and exclusive property of Inso AI.

Customer Data: You retain all intellectual property rights in the operational data and telemetry you stream into our platform. You grant Inso a worldwide, royalty-free, non-exclusive license to process, store, translate, and analyze this data solely to provide, support, and train our predictive algorithms for your enterprise.

5. Prohibited Conduct

When using the Inso Service, you agree not to:

Attempt to reverse-engineer, decompile, or copy the underlying codebase of our cloud dashboard or machine learning pipelines.
Bypass network restrictions, API limits, or authentication systems.
Interfere with system infrastructure, transmit malware, or launch denial-of-service (DDoS) attacks.
Use the Service to build a competing product, service, or predictive algorithm.

6. Warranty Disclaimers & Liability Limits

Uptime SLA: Our Service is hosted on Microsoft Azure’s secure multi-region cloud. While we strive to maintain our 99.9% uptime Service Level Agreement (SLA), the Service is provided on an "as is" and "as available" basis without warranties of any kind.

Limitation of Liability: In no event shall Inso AI, its directors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of operational profits, manufacturing downtime, connected service revenue interruptions, or physical equipment damage arising out of your use of the Service.

7. Governing Law & Dispute Resolution

These Terms and any disputes arising out of your relationship with Inso AI shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in San Francisco, California, and you hereby consent to the personal jurisdiction and venue therein.
